Coz it negates Dakini's effect of sending monsters to graveyard + returning 1 card from graveyard during their end phase, and negates Black Dragon Ninja's banishing effect for the rest of that turn.
Increases atk negates effects so if you use it on your opponents dakini for instance or on a black dragon and then wall of d or Mirror wall you stand a better chance of surviving
It's only good if you have something else in your back row. Against CA it will allow you to keep your monster on the field so you can last 1 more round min. Against Ninja, it prevents them from their banishment/summon effect.
Although now I see both CA and Ninja decks running Magic Counters now so... be weary.
